Qua is a term used to designate a particular capacity in which a person acts.
For instance, the same person may be a shareholder, director and consultant to a company. The law imposes obligations on directors under the Companies Act and under the general law. Accordingly, the person may be liable for wrongful conduct in their capacity as a director, but not as a contractor or shareholder.
When the Latin qua is used, the speaker uses the word to make it clear that a particular capacity of a person or legal entity is being used.
